Career growth opportunities Job Details Job Details: We are currently seeking a seasoned Associate Corporate Counsel to join our dynamic legal team. This position offers an exciting opportunity to work directly with our executive team and business units to provide counsel on a wide range of legal matters. The ideal candidate will have a strong background in corporate law with a focus on licensing, business litigation, legal document preparation, contract law, real estate law, franchise law, and mergers & acquisitions. Responsibilities: As an Associate Corporate Counsel, you will: 1. Provide legal advice and support on a wide array of corporate matters including licensing, contract law, real estate law, and franchise law.
2. Draft, review, and negotiate complex legal documents, equipment leases, master services agreements (MSAs), and requests for proposals (RFPs).
3. Conduct legal due diligence for mergers and acquisitions (M&A), post-closing integration, and other corporate transactions.
4. Advise on trademark issues and assist in the protection of the company's intellectual property rights.
5. Handle business litigation matters and represent the company in legal proceedings.
6. Ensure compliance with municipal contract law and other applicable laws and regulations.
7. Provide proactive legal advice to business units, helping to identify potential legal risks and develop mitigation strategies. Qualifications: To be considered for the Associate Corporate Counsel position, you must have: 1. A Juris Doctorate degree from an accredited law school.
2. A current member in good standing with the BAR.
3. A minimum of 3 years of relevant legal experience, preferably in the mortgage industry.
4. Demonstrated expertise in corporate law, contract law, real estate law, franchise law, and mergers & acquisitions.
5. Experience in drafting and negotiating complex legal documents, equipment leases, MSAs, and RFPs.
6. Proven ability to handle business litigation matters and represent the company in legal proceedings.
7. Strong knowledge of municipal contract law and other applicable laws and regulations.
8. Excellent written and verbal communication skills, with the ability to clearly convey complex legal concepts to non-legal personnel.
9. Strong analytical and problem-solving skills, with a proactive approach to identifying potential legal risks and developing mitigation strategies.
