Medical/Dental Benefits We are seeking a dynamic, experienced, and highly skilled individual to join our team as a Chief Legal and Compliance Officer. The Chief Legal and Compliance Officer will be responsible for leading our legal and compliance functions, providing strategic legal advice, and ensuring our company's compliance with all applicable laws and regulations. The successful candidate will have a strong background in legal management, M&A, commercial contract drafting and negotiation, software product development and licensing, international business, SEC compliance, SEC reporting, and experience in the SaaS industry. Provide strategic legal advice to our executive team, board of directors, and other key stakeholders. Lead all aspects of our company's legal function, including managing our internal legal team and coordinating with external legal counsel as needed. Oversee our company's compliance function, ensuring that we are in compliance with all applicable laws and regulations. Lead and manage all M&A activities, including conducting due diligence, negotiating deal terms, and managing post-acquisition integration. Draft, review, and negotiate a wide range of commercial contracts, including software licensing agreements, partnership agreements, and vendor contracts. Oversee our company's SEC reporting and compliance, ensuring that we are in compliance with all SEC rules and regulations. Provide legal support for our software product development efforts, including advising on intellectual property issues and licensing strategies. Lead our company's international business efforts, including advising on international business laws and regulations. Develop and implement legal and compliance policies and procedures, and provide training to our employees on these policies and procedures. Juris Doctor (JD) degree from an accredited law school. Admission to practice law in at least one U.Minimum of 5 years of legal experience, with a focus on the technology industry. Strong experience in legal management, M&A, commercial contract drafting and negotiation, software product development and licensing, international business, SEC compliance, and SEC reporting. Excellent communication skills, with the ability to effectively communicate complex legal issues to non-legal audiences. Strong leadership skills, with the ability to lead a team and manage complex projects.
