Job Details We are seeking a talented and experienced Mid-Level to Senior Associate to join our dynamic Corporate team in Miami. The successful candidate will have a proven track record in M&A/Investment Funds/Debt Finance and will play a crucial role in providing legal expertise to our clients.
Responsibilities:
Transactional Support:
- Lead and manage due diligence processes for M&A transactions, investment funds, or debt finance deals.
- Draft, review, and negotiate transactional documents, including agreements, contracts, and financing documents.
- Conduct legal research and provide analysis on relevant legal issues.
Client Interaction:
- Build and maintain strong relationships with clients, providing strategic legal advice.
- Communicate effectively with clients and internal teams to ensure a smooth and efficient legal process.
Team Collaboration:
- Collaborate with partners, senior attorneys, and other team members to achieve project goals.
- Mentor and provide guidance to junior associates and legal support staff.
Legal Analysis:
- Analyze and assess the legal and business implications of various corporate transactions.
- Stay informed about changes in laws and regulations relevant to M&A, investment funds, and debt finance.
Risk Management:
- Identify potential risks and propose risk mitigation strategies to ensure the success of transactions.
- Work closely with clients to understand their business objectives and provide solutions aligned with their goals.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- 4-7+ years of experience in corporate law, with a focus on M&A/Investment Funds/Debt Finance
- Strong understanding of the local and federal laws related to corporate transactions.
- Excellent written and verbal communication skills.
